Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Kindling (the “Service”), a feature-request and product-roadmap platform operated by Pahata LLC (“Pahata,” “we,” us,” or “our”). By creating an account, accessing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to you” include that organization.

1. Eligibility & accounts

You must be at least 13 years old (or the minimum age required in your country) and able to form a binding contract to use Kindling. You are responsible for keeping your account credentials confidential and for all activity under your account.

You agree to provide accurate information when registering, and to update it as needed. We may suspend or terminate accounts that we reasonably believe to be fraudulent, abusive, or in violation of these Terms.

2. The Service

Kindling lets teams create boards, collect feature requests, vote and comment on them, and connect external tools through an API. We may add, change, or remove features at any time. We will use reasonable efforts to notify you of material changes that meaningfully reduce the Service’s functionality.

Beta or preview features may be offered from time to time. Such features are provided “as is” and may be modified or discontinued without notice.

3. Your content

You retain all rights to the content you submit to Kindling, including feature requests, comments, votes, board metadata, and any materials you upload (“Your Content”). You grant Pahata a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content solely as needed to provide and improve the Service, to enforce these Terms, and to comply with law.

You are solely responsible for Your Content and for ensuring you have the rights to share it. You represent that Your Content does not violate any third party’s rights or any applicable law.

4. Acceptable use

You agree not to use the Service to:

  • Violate any law or regulation, or infringe anyone’s rights.
  • Post content that is unlawful, harassing, defamatory, hateful, sexually explicit, or that exploits or endangers minors.
  • Distribute malware, attempt to gain unauthorized access to the Service, probe or scan for vulnerabilities, or interfere with the Service’s integrity or performance.
  • Reverse engineer the Service, or use scraping, crawling, or other automated means except as expressly permitted by our documented API and robots.txt.
  • Use the Service to train machine-learning models on other users’ content without their permission.
  • Misrepresent your identity or affiliation with any person or organization.

We may remove content or suspend access at our discretion to enforce these Terms or to protect the Service, our users, or third parties.

5. API access

The Kindling API may be used in accordance with our published documentation. You are responsible for safeguarding your API keys; activity performed with your keys is attributed to you. We may apply rate limits and other technical controls, and may revoke keys that we reasonably believe are abused or compromised.

6. Fees & paid plans

Some features may require a paid subscription. Fees, billing periods, and cancellation terms will be presented at the point of purchase. Unless required by law or expressly stated otherwise, all fees are non-refundable. We may change pricing for future billing periods with reasonable advance notice.

7. Our intellectual property

The Service, including its software, design, and trademarks (such as “Kindling” and “Pahata”), is owned by Pahata LLC and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted.

If you provide feedback or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

8. Third-party services

The Service may interoperate with or link to third-party products and services. Pahata does not control and is not responsible for those products and services, and your use of them is governed by their own terms and privacy policies.

9. Suspension & termination

You may stop using the Service at any time and delete your account. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends immediately, and we may delete Your Content after a reasonable period.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11. Limitation of liability

To the maximum extent permitted by law, Pahata LLC and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with the Service.

Our total liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.

12. Indemnification

You agree to indemnify and hold harmless Pahata LLC and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or any law.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting a notice in the Service or updating the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Governing law & disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The state and federal courts located in San Francisco County, California have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts. Nothing in this section limits any non-waivable rights you may have under the laws of your country of residence.
